Terms & Conditions

These terms cover pricing, payment, revisions, ownership, and delivery for design, apparel, and website services from U4IC Media and Graphics (UMG). By requesting a quote, submitting payment, or engaging UMG's services, you agree to the terms outlined below.

1. Scope of Services

U4IC Media and Graphics (UMG) provides professional services including, but not limited to: graphic and brand design (logos, flyers, marketing assets), apparel printing and fulfillment, video and media editing, editorial services, and social media and website services.

Services rendered are governed by the pricing, workflows, and policies outlined in this document.

2. Pricing & Payment Terms

2.1 Apparel / Shirt Orders

  • Shirt orders totaling over $100 require a 50% deposit upon receipt of invoice.
  • The remaining balance is due upon delivery or receipt of the shirt order, prior to release.
  • Shirt orders totaling $100 or less must be paid in full upon receipt of invoice.
  • Production will not begin and apparel will not be released until applicable payments are received.
  • Bulk orders (25 or more shirts) may qualify for adjusted pricing.

2.2 Design Services (Flyers, Logos, Graphics, Branding)

  • Payment is due upon final design approval.
  • Final design files will be released only after payment has been received.
  • A 24–48 hour grace period may be extended at the discretion of UMG.

2.3 Website / Webpage Design

  • A 50% deposit is required upon receipt of invoice to begin work.
  • The remaining balance is due upon final approval of the webpage, prior to launch, transfer of files, or release of credentials.

3. Revisions

Unless otherwise stated in writing, design services include up to three (3) revision rounds. Revisions are defined as reasonable modifications to an existing concept.

Additional revisions or scope changes beyond what is included will incur additional charges at UMG's current rate.

4. Concepts & Design Process

Upon receipt of required information and payment, UMG will develop concepts based on the agreed scope of work. For logo projects, up to three (3) initial concepts may be provided unless otherwise specified. Revisions apply only to the selected concept.

5. File Delivery

Final approved designs are delivered in standard digital formats appropriate to the service (e.g., JPG, PDF, EPS, PNG). Vector files are provided for logo projects where applicable. No files will be released prior to full payment.

6. Ownership & Rights

  • UMG retains ownership of all concepts, drafts, and designs until full payment is received.
  • Upon payment in full, the client receives ownership of the final approved design for use in any lawful business application.
  • UMG retains the right to display completed work in portfolios, promotional materials, and marketing channels.
  • Clients are responsible for copyright registration and/or trademark filing if desired.

7. Originality

UMG affirms that all original design work created is original and does not knowingly infringe on third-party rights.

8. Delays & Force Majeure

UMG is not liable for delays caused by events beyond its control, including but not limited to illness, injury, equipment failure, theft, fire, or Acts of God.

9. Termination

The client may terminate a project if UMG fails to deliver the agreed service within 60 days of deposit receipt, excluding delays caused by client non-responsiveness. If termination occurs for any other reason, all deposits are non-refundable.

10. Performance Liability

UMG does not guarantee uninterrupted or error-free performance of any design or media service. UMG shall not be liable for incidental, consequential, or special damages, including lost profits or savings.

11. Payment Methods Accepted

  • PayPal

Clients must include the invoice number with payment. Work will begin and/or deliverables will be released only after payment is received.

12. Acceptance of Terms

By submitting payment, approving designs, or engaging UMG services, the client acknowledges understanding and acceptance of these Terms & Conditions.

Section 2

Webpage Design Terms & Conditions

These terms apply specifically to website and webpage design projects, in addition to the general terms above.

Concepts & Development

Within 7–10 business days of receiving required company information and the required deposit, UMG will design a functional webpage based on the agreed scope of work. Temporary login credentials or preview links will be provided via email unless otherwise negotiated.

Revisions

Webpage design includes up to three (3) rounds of revisions unless otherwise stated in writing. A revision is defined as a reasonable modification to existing content or layout. Requests that alter scope, structure, or functionality may require a revised invoice.

Client Responsibilities

Clients must provide all required website content (text, images, branding assets) prior to or at project start unless otherwise agreed. Text content must be delivered as a Word document, email, or similar format, with pages clearly labeled.

Failure to provide required content within 14 days of project commencement may result in project pause, schedule reprioritization, additional fees, or project closure, with the remaining balance becoming immediately due.

Hosting & Credentials (Post-Acceptance)

  • All temporary credentials must be changed by the client after final approval.
  • Client is responsible for adding their own payment method for hosting.
  • Hosting fees are separate from design services (currently $10/month, subject to provider changes).

Payment Terms

  • A 50% deposit is required before work begins.
  • The remaining balance is due upon final approval of the webpage, prior to launch, transfer of files, or release of credentials.
  • The webpage remains the property of UMG until paid in full.

Ownership & Usage Rights

Upon payment in full, the client owns the final approved webpage design for lawful business use. UMG retains the right to display completed work in portfolios and promotional materials.

Copyright & Client Materials

Clients retain copyright to all materials they provide and warrant that they have legal rights to use them. Clients agree to indemnify and hold harmless UMG from any claims arising from copyrighted materials supplied by the client.

Delays & Force Majeure

UMG is not responsible for delays caused by illness, injury, technical failure, acts of God, or client non-responsiveness.

Termination

Clients may terminate this agreement if UMG fails to deliver the webpage within 30 business days of deposit receipt, excluding delays caused by missing client content. If termination occurs for any other reason, all payments made are non-refundable.

Performance Liability

UMG does not guarantee uninterrupted or error-free performance of any webpage or service. UMG shall not be liable for incidental, consequential, or special damages.

Acceptance of Terms

Payment, written approval, or continued engagement constitutes acceptance of these Terms & Conditions.
